This includes: - Public or private nonprofit primary, secondary, and higher education institutions. - Nonprofit organizations providing services such as arts, culture, social welfare, community development, healthcare, or humanitarian aid. - Organizations with 501(c)(3) tax-exempt status in the United States. 2. **Legal Documentation** Organizations must maintain and, upon request, provide documentation demonstrating: - Nonprofit or charitable registration status (e.g. 501(c)(3) registration) - Articles of Association, Memorandum of Association, or equivalent governing documentation. - Financial statements that reflect a mission and operations centered on nonprofit, educational, or social objectives. 3. **Compliance with Policies** Organizations must adhere to acceptable use policies and other relevant terms of service. ### **Audit and Verification** Subscribers may optionally include their Tax ID or VAT number during the checkout process. You are encouraged to do so to streamline verification of eligibility. PhotoCircle reserves the right to audit subscribers at any time to confirm eligibility criteria, during which they will need to present the following: - Valid documentation confirming nonprofit or charitable status. - Proof of compliance with legal and policy requirements. - Confirmation of the organization’s primary purpose and activities. Failure to supply required documentation may result in loss of eligibility and conversion to a full-priced Teams & Business plan. ### **Included Categories of Organizations** The following organization types may be eligible for PhotoCircle Education & Nonprofit plans: - **Nonprofit Organizations** - Charitable, educational, scientific, and literary organizations. - Social welfare and humanitarian aid providers. - Arts and cultural institutions. - Community-based health services. - Organizations focused on reproductive health, mental health, substance abuse treatment, or developmental services. - **Educational Institutions** - Public and private nonprofit institutions of primary, secondary, or higher education. - **Fiscally Sponsored Organizations** - Entities supported by a legally recognized nonprofit or public charity with documented fiscal sponsorship agreements. ### **Ineligible Organizations and Activities** The following organizations and activities are not eligible for the program: - You will upload Contributions to the Services only where you own those Contributions (or have permission to use them in connection with the Services and in accordance with these Terms and our [Privacy Policy](https://www.photocircleapp.com/legal/privacy/)). 2\. You will not upload any Contributions that are private, sensitive, or introduce a security risk to yourself, such as using your phone number as your display name. You are responsible for taking reasonable measures to protect your own privacy and security when using the Services. 3\. You may only use the Services for personal, non-commercial use (except for Premium Plan users, who may use in accordance with the applicable Premium Terms of Service). You may not create a user profile for anything other than a natural, human person. 4\. You may only use the Services for lawful activity. It is your responsibility to comply with all applicable local, state, and federal laws and regulations. We may, in our sole discretion, cooperate in law enforcement investigations relating to your Contributions and use of the Services. 5\. You may not interfere with or damage the Services, and may not take any action in connection with the Services which presents a risk of interference with or damage to the Services, including, without limitation, through the use of viruses, bots, harmful code, denial-of-service attacks, ransomware, keystroke loggers, backdoors, packet or IP address spoofing, forged routing, or any similar methods or technology that may exist now or come to exist in the future. 6\. You may not upload, access, contribute, download, screenshot, or share images of minors unless expressly permitted by this Policy and with appropriate legal guardian consent. Any contributions that include or suggest child sexual abuse material (CSAM), regardless of artistic or fictional context, are strictly prohibited and will be reported to relevant law enforcement authorities. 7\. You may not upload, share, promote, or depict nudity, sexual content, sexually suggestive content, or sexually explicit material, regardless of artistic or fictional context, including drawn or animated depictions such as hentai. 8\. You may not upload, share, promote, or depict graphic violence, gore, or content that encourages or glorifies violence, self-harm, or harm against others, including animal cruelty. 9\. You may not upload, share, promote, or depict hate speech, threats, or material targeting individuals or groups based on race, ethnicity, nationality, religion, gender, gender identity, sexual orientation, disability, or medical condition. 10\. You may not join, participate in, or remain in any Circle whose primary purpose is to share, distribute, or view content that violates these Acceptable Use Guidelines or our Terms of Use, even if you personally do not post such content. Membership in such Circles constitutes a violation of these Guidelines, subject to account suspension or termination. 11\. Except as specifically enabled by the standard functionality of the App, you may not copy, rip, or capture any Content encountered on the Service. 12\. You may not use the Services to reverse engineer, recreate, duplicate, mimic, and/or otherwise recreate all or any part of the Services. You may not use manual or automated software, devices, scripts, robots, other means or processes to access, “scrape,” “crawl”, “spider” or use an automated mechanism such as a bot to interact in any way with any portion of the Services. From the time you accept these Terms, you agree not to attempt to compete with the Services or use the Services in any way as a part of competing with PhotoCircle. If you are an owner, operator, or employee of a business whose products and services can be deemed to compete with PhotoCircle, you may not install or use the App in any manner whatsoever. 13\. You may not use the Services to upload, transmit, or promote any Contributions or related material that infringes or violates the intellectual property rights, privacy rights, publicity, and/or any other rights of anyone else (including PhotoCircle). For example, and not as a limitation, this means that if you upload photos that portray illegal content, photos that you don’t have permission to upload, or abusive comments, you have violated these Terms. 14\. You may not use the Services to upload, transmit, or promote any Contributions or related material that is inappropriate, inaccurate, objectionable, and/or abusive using the Services, nor use the Services to harass, abuse or harm another person in any way, including without limitation, to market goods and services to them, “Spam” them, and/or populate marketing lists. 15\. You may not rent, lease, loan, trade, sell/re-sell access to PhotoCircle’s Services or any information therein, or the equivalent, in whole or part. 16\. You may not imply or state, directly or indirectly, that you are affiliated with or endorsed by us unless you have entered into a separate written agreement with us that expressly permits such statements. 17\. You may only use SSO to sign onto the Service if you have the necessary rights and permissions from the SSO provider. 18\. You may not take any action which attempts to override the privacy and security features of the Services in any manner. 19\. You may not take any action which attempts to or actually does interrupt, disrupt, or delay the Services in any manner. 20\. You will not bully, demean, abuse, insult, or verbally attack members of the PhotoCircle support team. 21\. You will not use our Services to cause nuisance, annoyance, or inconvenience. 22\. You will not copy or distribute any Media displayed through the Services without the permission or authority to do so. 23\. You will not create or compile, directly or indirectly, any collection, compilation, or other directory from any Media displayed through the Services except for your personal, noncommercial use. 24\. The information you provide to us or otherwise communicate with us is accurate. 25\. You will not use the Services in any way that could damage, disable, overburden, or impair any of our servers or the networks connected to any of our servers. 26\. You will report any errors, bugs, unauthorized access methodologies or any breach of our intellectual property rights that you uncover in your use of the Services. 27\. You will remain responsible for anything that happens through your account unless you have previously terminated your account, or you prove that your account security was compromised due to no fault of your own. 28\. You will not permit others to use your PhotoCircle account, and you will refrain from using other Users’ accounts. 29\. You will not impersonate another person, act as another entity without authorization, or create multiple accounts. 30\. You will not submit or upload to PhotoCircle any information relating to an individual younger than 16 unless: a) you are the parent or legal guardian of that child; or b) you have obtained the verifiable consent of the parent or legal guardian of that child in accordance with the “Parental Consent” section of our [Terms of Use](https://www.photocircleapp.com/legal/terms/). 31\. Your Content does not contain material that solicits personal information from anyone under 18 or exploits people under the age of 18 in a sexual or violent manner, and does not violate any federal or state law concerning child pornography or any other law intended to protect the health or wellbeing of minors. 32\. Your Content does not violate any state or federal law designed to regulate electronic advertising. 33\. Your Content does not contain pictures, data, audio, or visual files, or any other Media that is excessive in size, as determined by us in our sole discretion. 34\. Your Content does not contain any material deemed illegal or inappropriate, and that you or your Content may be subject to remedial actions if found to violate these Terms. Conditioned upon your compliance with these Terms, PhotoCircle grants you a limited, non-exclusive, non-transferable license, to (i) access, view, and use the Services solely for your personal use and (ii) access and view any Contributions to which you are permitted access. You have no right to sublicense the license rights granted in this section. You may not and will not use, copy, adapt, modify, prepare derivative works based upon, distribute, license, sell, transfer, publicly display, transmit, broadcast, or otherwise exploit Services, except as expressly permitted in these Terms. No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by PhotoCircle or its licensors, except for the licenses and rights expressly granted in these Terms. Further, you acknowledge that the Services, including all associated intellectual property rights, are the exclusive property of PhotoCircle and its licensors. --- ## legal/billingpolicy (/legal/billingpolicy/) # Billing Policy At the beginning of each billing cycle, you will be charged for the number of seats enabled in your workspace. A PhotoCircle Premium\* seat is required for anyone who works for or represents your organization and uses PhotoCircle in any way. This includes accessing the app, creating Circles, uploading, managing, or viewing media. A paid seat is not limited to web or admin console access—it applies to all platform use. Your customers/audience do not need a PhotoCircle Premium seat. If they are not working for, or on behalf of, your organization they are considered a guest user. When a user’s account is disabled, a seat license is available and may be assigned to a new user. When new users are added to your workspace and there are no seats available, your account will be charged for the prorated time left in your billing cycle. Sharing a login is a violation of PhotoCircle’s Premium Terms of Service and will result in additional fees or the immediate cancellation of services. PhotoCircle reserves the right to audit accounts. You may switch between plans at any time. If you upgrade your plan (e.g., switching from Standard to High Resolution), you will be charged. In such a case, the relationship between PhotoCircle and Customer shall be governed by the custom terms. ## 2\. Definitions All capitalized terms used in these Premium Terms shall have the meaning given to them in the [Terms](https://www.photocircleapp.com/legal/terms/) unless otherwise defined or stated herein. | Feature | | | --- | --- | | Admin User | One or more Workspace Users that a Customer designates with the ability to manage a Workspace. Customers must have at least one Admin User. | | Applicable Law | All laws, rules, and governmental regulations applicable to Customer. | | Workspace User | Any User who works for or on behalf of the Premium Account holder and is invited to join a Workspace Circle associated with the Premium Account. Workspace Users may have different roles and permissions that have different features and functionality, as specified in the Documentation. | | Guest | Any User who does not work for or on behalf of the Premium Account holder who invited the User to access a Workspace Circle associated with the Premium Account. | | Fees | The product of the amount of the Premium Services used or ordered by Customer multiplied by the prices stated within the Order Form. | | Order Form | Online order page or pages, or other ordering document acceptable to PhotoCircle under these Premium Terms, issued by PhotoCircle and accepted by Customer specifying the Premium Services that PhotoCircle will provide to Customer under these Premium Terms. | | Premium Account | A Customer’s subscription to PhotoCircle’s Premium Services. | | Workspace Circle | A Circle created by any Workspace User of the Workspace, under a PhotoCircle Premium Services license. | | Workspace | Separated sections of the Premium Service where Workspace Users may submit, post, or modify Media. Workspaces may have different tiers that have different features and functionality as specified in the Documentation. Workspace includes Workspace Users associated with the Customer’s Premium Account, and all Media contributed to the Workspace is owned by the Customer. | ## 3\. Your PhotoCircle Premium License You acknowledge and agree that the Premium Services, including all associated intellectual property rights, are the exclusive property of PhotoCircle and its licensors. Conditioned upon your compliance with these Premium Terms and your payment of Fees (defined below), PhotoCircle hereby grants you a limited, non-exclusive, non-transferable license, to: - Access, view, and use the Premium Services with the number of seats commensurate with your payment of Fees. - Access and view any Media to which you are permitted access through your Workspace Circles. Notwithstanding anything to the contrary in these Premium Terms or the Terms, we consent to your use of the Premium Services in a commercial context that is in accordance with these Premium Terms, our Terms, and our Documentation, provided that you may not, and will not, resell, repackage, or otherwise offer any portion of our Services or Premium Services, either directly or indirectly, for commercial purposes as if they were your own products or services. You have no right to sublicense the license rights granted in this section. You may not and will not use, copy, adapt, modify, prepare derivative works based upon, distribute, license, sell, transfer, publicly display, transmit, broadcast, or otherwise exploit any of our services, products, or offerings, except as expressly permitted in these Premium Terms and as enabled by the Premium Services themselves when used in accordance with these Premium Terms. No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by PhotoCircle or its licensors, except for the licenses and rights expressly granted in these Premium Terms. ## 4\. Customer Obligations **Compliance.** Customer will (a) ensure that Customer, its Workspace Users, and Guests’ use of the Premium Services complies with the Premium Terms, (b) use commercially reasonable efforts to prevent and terminate any unauthorized use, or access to, the Premium Services, and (c) promptly notify us if Customer becomes aware of any unauthorized use of, or access to, the Premium Services. We reserve the right to investigate any potential violation of the Premium Terms, which may include reviewing Customer’s usage of the Premium Services. **Privacy.** Customer is responsible for any consents and notices required to permit (a) Customer’s use and receipt of the Premium Services, and (b) our accessing, storing, and processing of any data provided by Customer under these Premium Terms in accordance with our [Privacy Policy](https://www.photocircleapp.com/legal/privacy/). **Restrictions.** Customer will not, and will not allow Workspace Users or Guests to, (a) copy, modify, or create a derivative work of the Premium Services or Premium Content; (b) reverse engineer, decompile, translate, disassemble, or otherwise attempt to extract any or all of the source code of, the Premium Services (except to the extent such restriction is expressly prohibited by applicable law); (c) sell, resell, sublicense, transfer, or distribute any or all of the Premium Services; or (d) access or use the Premium Services: - for [prohibited activities](https://www.photocircleapp.com/legal/terms/); - in violation of our [Acceptable Use Guidelines](https://www.photocircleapp.com/legal/acceptableuse/); - in a manner intended to avoid incurring Fees (including sharing Workspace User or Guest accounts with multiple individuals or otherwise attempting to circumvent Premium Service-specific usage limits or quotas); - in a manner that breaches, or causes the breach of, these Premium Terms. **Administration of Services.** Customer may specify through the Workspace one or more Admin Users who will have the right to access the Workspace(s). Customer is responsible for (a) maintaining the confidentiality and security of the Workspace User accounts, including the Admin User(s), and associated passwords and (b) any use of the Workspace User accounts. Customer agrees that our responsibilities do not extend to the internal management and administration of the Premium Services for Customers or any Workspace Users or Guests. **Additional User Accounts.** We use a flexible payment system that allows you to adjust the number of available seats at any time. If you increase the number of seats above your current seat count, our payment system automatically accounts for this increase and either charges your credit card (if you are using a third-party payment processor) or we will send you an invoice. **Copyright.** We respond to notices of alleged copyright infringement in accordance with our Copyright Policy, and we may terminate Workspace Users’ or Guests’ accounts of repeat infringers in appropriate circumstances as required to maintain safe harbor for online service providers under the U.S. Digital Millennium Copyright Act. ## 5\. Suspension **Violations.** If we become aware that Customer’s, Workspace User’s, or Guest’s use of the Premium Services violates our [Acceptable Use Guidelines](https://www.photocircleapp.com/legal/acceptableuse/) or is a [prohibited activity](https://www.photocircleapp.com/legal/terms/), we will notify Customer and request that Customer correct the violation. If Customer fails to promptly correct the violation, then we may suspend all or part of Customer’s use of the Premium Services until the violation is corrected. **Other Suspension.** Notwithstanding the above paragraph, we may immediately suspend all or part of Customer’s use of the Premium Services (including suspending the underlying Workspace Users or Guests) if (a) we reasonably believe the suspension is needed to protect our Premium Services, our infrastructure supporting the Premium Services, or any other customer of the Premium Services (or their Workspace Users or Guests); (b) there is suspected unauthorized third-party access to the Premium Services; (c) we reasonably believe that immediate suspension is required to comply with any applicable laws; or (d) Customer is in breach of these Premium Terms. ## 6\. Guests, Workspace Users, and Others **Guests.** If Customer invites a Guest (e.g., consultant, contractor, or agent of Customer, or third parties with which Customer transacts business), Customer is responsible for providing the Guest with necessary disclosures and collecting proper consents to access and use PhotoCircle. When you invite a Guest to access PhotoCircle: - You are responsible for ensuring that the Guest abides by PhotoCircle’s [Terms](https://www.photocircleapp.com/legal/terms/). - You are responsible for ensuring that you have valid permission to share any personal information about the Guest you share with us. - You are responsible for ensuring that you provide valid permissions to Guests for your use and ownership of Media that Guests provide to the Workspace. **CUSTOMER UNDERSTANDS AND AGREES THAT, AS FURTHER STATED IN THE “FEES AND BILLING” SECTION, GUESTS COUNT TOWARDS CUSTOMER’S FEES CALCULATION.** **Workspace Users.** When you add a Workspace User to your Premium Account: - You are responsible for ensuring that the Workspace User abides by PhotoCircle’s [Terms](https://www.photocircleapp.com/legal/terms/). - The Workspace User’s account will be owned by the Premium Account. - You are responsible for ensuring that you have the Workspace User’s permission for this transfer of account ownership, if any such transfer occurs. - You are responsible for ensuring that you have valid permission to share any personal information about the Workspace User you share with us. - You are responsible for ensuring that you provide valid permissions to Workspace Users for your use and ownership of Media that Workspace Users provide to the Workspace. **Media Transfer Opportunity.** If a Workspace User has an existing PhotoCircle Friends & Family account that uses the same email address as the email address used to add them to your Workspace, the Workspace User will be provided the option, before accepting the invitation, to move Media associated with that email address to a new PhotoCircle account owned by them. This is the Workspace User’s sole opportunity to migrate Media before you assume ownership of the Media associated with your PhotoCircle Premium account. If the Workspace User accepts your invitation, the Workspace User’s existing and future Media will be owned by the Premium Account, and the Media will remain in the Premium Account even after the Workspace User loses authorization (e.g., leaves the Customer’s organization). Workspace Users cannot delete the Premium Account they were invited to join. **Roles and Permissions for Invited Users.** Workspace Users may have comprehensive or limited rights to any given Circle or Workspace, depending on the permissions allowed by their role within that Circle or Workspace, as detailed in [Documentation](https://docs.photocircleapp.com/). ## 7\. Fees and Billing **Seats.** PhotoCircle Premium plans are licensed on a per-seat basis, as detailed in applicable Order Forms and [Documentation](https://docs.photocircleapp.com/). A PhotoCircle Premium seat is required for anyone who works for or represents your organization and uses PhotoCircle in any way. Please review our [billing policy](https://www.photocircleapp.com/legal/billingpolicy/) for more details. **Usage and Invoicing.** Customer will pay all Fees specified in Order Forms. PhotoCircle will invoice Customer all Fees for the Premium Services. PhotoCircle’s measurement tools will be used to determine Customer’s usage of the Premium Services, as detailed in PhotoCircle’s [billing policy](https://www.photocircleapp.com/legal/billingpolicy/). The use of the term “PhotoCircle” in this Section includes service providers (e.g., payment processors) engaged on PhotoCircle’s behalf. Customer may elect a monthly or annual billing option, or from among other options offered by PhotoCircle, when placing their order for the Premium Services. PhotoCircle may change its offering of billing options, including by limiting or ceasing to offer any billing option, upon thirty days’ written notice (which may be by email). Billing options may not be available to all Customers. Customer may pay for the services using the payment options listed below. **Monthly Plan.** If Customer selects this option, Customer will pay for the Premium Services on a monthly basis. PhotoCircle will bill Customer: (i) Fees based upon Customer’s daily usage of the Premium Services during the preceding month; and (ii) monthly in arrears for its use of the Premium Services. **Annual Plan.** If Customer selects this option, Customer will be committed to purchasing the Premium Services from PhotoCircle for an annual term. **Payment.** All payments due are in U.S. dollars unless otherwise indicated on an invoice. Customer will provide PhotoCircle with valid and updated credit card information. If Customer provides credit card information to PhotoCircle, Customer authorizes PhotoCircle to charge such credit card for all Fees owed in Customer’s initial subscription term and any renewal subscription term(s). Such charges shall be made in advance, in accordance with the billing frequency indicated by Customer. Invoiced Fees are due net 30 days from the invoice date. Customer is responsible for providing complete and accurate billing and contact information to PhotoCircle and for notifying PhotoCircle of any changes to such information. **Automatic Renewal.** These Premium Terms and your obligation to pay Fees automatically renew at the end of each billing cycle. **Contingent on Payment.** Your use of PhotoCircle Premium is conditioned on your payment of Fees for the Premium Services. **Suspension for Overdue Fees.** We reserve the right to suspend Customer’s access to Premium Services in the event of any unpaid and overdue Fees. **Price Revisions.** We reserve the right to increase fees from time to time in our sole discretion. We will notify the Customer at least 30 days in advance of any changes. Customer’s pricing will change at the beginning of Customer’s next billing cycle. ## 8\. Term & Termination **Agreement Term.** The term of these Premium Terms (the “**Term**”) will begin on the date when Customer agrees to the Premium Services (the “**effective date**”) and continue until the Premium Terms are terminated or not renewed. **Termination by Customer.** Customer may stop using the Premium Services at any time. To terminate your PhotoCircle Premium Account, email [support@photocircleapp.com](mailto:support@photocircleapp.com). **Termination by PhotoCircle.** PhotoCircle may immediately and without notice terminate these Premium Terms with you and suspend or disable your access to the Premium Services if PhotoCircle determines, in its sole discretion, that: - You, your Workspace Users, or your Guests have breached these Premium Terms. - You, your Workspace Users, or your Guests have violated applicable laws, regulations, or third-party rights. - Such action is needed to protect the safety or property of other users, PhotoCircle, or third parties. - We have reason to believe you, your Workspace Users, or your Guests have violated these Premium Terms. If we intend to remove your account in accordance with this Section, we will try to provide advance notice to you before we remove your account, but we need not provide notice if we determine it would be impractical, illegal, not in the interest of someone’s safety or security, or otherwise harmful to the rights or property of PhotoCircle to provide such notice. **Effect of Termination or Non-Renewal.** If the Premium Terms are terminated or not renewed, then (a) all rights and access to the Premium Services will cease (including Workspace Users’ or Guests’ access to the Premium Services) and (b) all Fees owed by Customer to PhotoCircle are immediately due upon Customer’s receipt of the final electronic bill or as stated in the final invoice. Provisions that, by their nature, should survive termination of these Premium Terms shall survive any termination of your account. **Media.** You can extract all Media by downloading a ZIP file for each Circle from your Workspace. Comments and reactions cannot be downloaded. You can notify PhotoCircle at [onboarding@photocircleapp.com](mailto:onboarding@photocircleapp.com) when you’d like us to delete any of your remaining Media in our possession. We may, but are not obligated to, delete all data relating to terminated accounts at the end of the paid subscription term. ## 9\. Disclaimer of Warranties YOU EXPRESSLY UNDERSTAND AND AGREE THAT TO THE FULLEST EXTENT OF LAW, YOUR USE OF THE PREMIUM SERVICES IS ENTIRELY AT YOUR OWN RISK. THE PREMIUM SERVICES ARE PROVIDED ON AN “AS IS” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS OR TIMELINESS OF THE CONTENT MADE AVAILABLE THROUGH THE SERVICES, OR THE TEXT, GRAPHICS, OR LINKS. WE DO NOT WARRANT THAT THE SERVICES WILL OPERATE ERROR-FREE OR THAT THE SERVICES ARE FREE OF COMPUTER VIRUSES AND OTHER HARMFUL MALWARE. IF YOUR USE OF THE SERVICES RESULTS IN THE NEED FOR SERVICING OR REPLACING EQUIPMENT OR DATA, WE SHALL NOT BE RESPONSIBLE FOR THOSE ECONOMIC COSTS. ## 10\. Limitation of Liability UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (WHETHER IN CONTRACT, TORT, OR OTHERWISE) SHALL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR: (A) ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST SALES OR BUSINESS, LOST DATA OR DATA BREACH, OR (B) FOR ANY DIRECT DAMAGES, COSTS, LOSSES OR LIABILITIES (INCLUDING ATTORNEYS’ FEES) IN EXCESS OF THE FEES ACTUALLY PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO YOUR CLAIM OR, IF NO FEES APPLY, ONE HUNDRED ($100) U.S. DOLLARS. THE PROVISIONS OF THIS SECTION ALLOCATE THE RISKS UNDER THIS AGREEMENT BETWEEN THE PARTIES, AND THE PARTIES HAVE RELIED ON THESE LIMITATIONS IN DETERMINING WHETHER TO ENTER INTO THIS AGREEMENT. Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply to you. IN THESE STATES, OUR LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW. WE MAKE NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE SERVICES, OR ANY OTHER ITEMS OR SERVICES PROVIDED BY US, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY ARISING BY USAGE OF TRADE, COURSE OF DEALING OR COURSE OF PERFORMANCE, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE AND ANY IMPLIED WARRANTY OF NON-INFRINGEMENT. YOU ACKNOWLEDGE THAT THE SERVICES (INCLUDING ANY SERVERS OR OTHER HARDWARE, SOFTWARE AND ANY OTHER ITEMS USED OR PROVIDED BY US IN CONNECTION WITH THE SERVICES) ARE PROVIDED “AS IS” AND THAT WE MAKE NO WARRANTY THAT THE SERVICES WILL BE FREE FROM BUGS, FAULTS, DEFECTS OR ERRORS OR THAT ACCESS TO THE SERVICES WILL BE UNINTERRUPTED. ## 11\. Indemnity You agree to indemnify and hold harmless PhotoCircle and its officers, directors, employees, agents, and affiliates (each, an “**Indemnified Party**”), from and against any losses, claims, actions, costs, damages, penalties, fines, and expenses, including without limitation attorneys’ fees and expenses, that may be incurred by an Indemnified Party arising out of, relating to or resulting from: 1. your Premium Content; 2. your, a Workspace User’s, or a Guest’s misuse of the Premium Services; 3. your, a Workspace User’s, or a Guest’s violation of these Premium Terms; or 4. your, a Workspace User’s, or a Guest’s violation of any applicable laws, rules or regulations through or related to the use of the Premium Services. In the event of any claim, allegation, suit or proceeding alleging any matter potentially covered by the agreements in this Section, you agree to pay for the defense of the Indemnified Party, including reasonable costs and attorneys’ fees incurred by the Indemnified Party. We reserve the right, at our own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with us in asserting any available defenses. This provision does not require you to indemnify any Indemnified Party for any unconscionable commercial practice by such party, or for such party’s negligence, fraud, deception, false promise, misrepresentation or concealment, suppression or omission of any material fact in connection with the Services. You agree that the provisions in this Section will survive any termination of your account, these Premium Terms, or your access to the Premium Services. ## 12\. These Premium Terms do not and are not intended to confer any rights or remedies upon any person other than the parties. | | Severability | If for any reason an arbitrator or a court of competent jurisdiction finds any provision of these Premium Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Premium Terms will remain in full force and effect. | | Entire Agreement | These Premium Terms constitute the entire agreement between you and PhotoCircle regarding your use of PhotoCircle’s Premium Services, and supersede all prior written or oral agreements. The date of the last modification will also be posted at the beginning of these Premium Terms. It is your responsibility to check from time to time for updates. By continuing to access or use the Premium Service, you are indicating that you agree to be bound by any modified Premium Terms. | | Export Controls | You may not use or otherwise export or re-export the Premium Services except as authorized by United States law and the laws of the jurisdiction in which the Premium Services were obtained. In particular, but without limitation, the Premium Services may not be exported or re-exported (a) into any U.S.-embargoed countries or (b) to anyone on the U.S. Treasury Department’s Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List or Entity List. By using the Premium Services, you represent and warrant that you are not located in any such country or on any such list. You also agree that you will not use these products for any purposes prohibited by United States law, including, without limitation, the development, design, manufacture, or production of nuclear, missile, or chemical or biological weapons. | | Government Licensing | The Premium Services and related documentation are “Commercial Items”, as that term is defined at 48 C.F.R. §2.101, consisting of “Commercial Computer Software” and “Commercial Computer Software Documentation”, as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. Marketing and Publicity By subscribing to the Premium Services, Customer grants PhotoCircle a limited, non-exclusive, royalty-free right to use Customer’s name and logo solely for the purpose of identifying Customer as a PhotoCircle customer in PhotoCircle’s marketing materials, website, presentations, and other promotional content. PhotoCircle will make reasonable efforts to use Customer’s name and logo in accordance with any brand guidelines provided by Customer. PhotoCircle will not make any representations about Customer’s endorsement of the Premium Services without Customer’s prior written consent. If Customer does not wish to be identified in PhotoCircle’s marketing materials, Customer may opt out at any time by emailing [privacy@photocircleapp.com](mailto:privacy@photocircleapp.com). PhotoCircle will remove Customer’s name and logo from any new materials within a reasonable time following receipt of the opt-out request; however, PhotoCircle is not obligated to modify or recall previously published or distributed materials. ## 14\. Whose Personal Information We Collect We obtain information from various entities and individuals. These entities and individuals are defined below by what they are referred to in this Privacy Policy and when their information is collected. Definitions may overlap and are not exclusive categories. - **Website Visitors:** When you visit the Site or contact us directly for general information. - **Customers:** When businesses, educational institutions, or other organizations engage us to provide PhotoCircle Premium to End Users. - **Consumers:** When you use our PhotoCircle Friends & Family offerings, including PhotoCircle+. - **End Users:** When we collect and process information from individuals on behalf of Customers. For example, this may include an employee of a business or a student of an educational institution. - **Service Providers:** When you become a service provider to PhotoCircle. The use of “**you**” and “**your**” throughout this Privacy Policy will, depending on the context, refer to a Customer, Consumer End User, or Website Visitor. All capitalized terms used in this Privacy Policy shall have the meaning given to them in the [Terms of Use](https://www.photocircleapp.com/legal/terms/) unless otherwise defined or stated herein. ## 2\. How We Collect Information from You **Information You Give Us.** You may give us information by signing up for an account, entering information through forms or surveys, inputting information while using our services, or by contacting us by phone or email for information or customer service. The categories of information include: - Identifiers, such as name, telephone number, postal address, Internet Protocol address, email address, account name, or other similar identifiers. - Internet or other electronic network activity information, such as information regarding a consumer’s interaction with an Internet website, application, or advertisement. - Visual information, such as photographs. - Inferences drawn from the above categories of information. **Information About End Users We Collect for PhotoCircle Customers.** If your company or school or other institution engaged our Services, we may collect information from you on their behalf as a service provider. This information may be passively recorded from interactions on your browser or device, or it may be through integrations with the Customer’s software. This information may include: - Identifiers, such as name, telephone number, postal address, Internet Protocol address, email address, account name, or other similar identifiers. - Internet or other electronic network activity information, such as information regarding a consumer’s interaction with an Internet website, application, or advertisement. - Visual information, such as photographs. - Inferences drawn from the above categories of information. If a Customer has engaged us, we may collect information from you on their behalf as a service provider. However, because we process and safeguard information on the Customer’s behalf, you should contact the Customer directly for information regarding how they use and share personal information gathered from using our Services. When you are invited to become a Workspace User, your Workspace User account and activity therein is associated with the Workspace. If you use the same email to accept a Workspace User invitation that you used with an existing PhotoCircle account, information from the existing account will be transferred to the Workspace User account. **When you Visit our Website.** Like many websites, we collect information that your browser sends whenever you visit our Website. This includes log data, such as IP address, browser type, browser version, pages of our Website that you visit, the time and date of your visit, the time spent on those pages and other statistics, and how you reached our Website. This may be collected via several technologies, including cookies. You can control cookies in your browser to enable or disable them. How We Use Your Information We use your personal information for the following purposes: - To provide you with our Services, which includes: - maintaining and servicing accounts, - providing customer service, - processing and fulfilling orders and transactions, - verifying customer information, and - providing advertising or marketing services to you. - To provide analytic services, such as analyzing customer usage and improving services offered. - To conduct market research and project planning. - To detect security incidents, protect against fraudulent or other criminal activity, debug and repair errors, and maintain the overall quality and safety of our Site. - To fulfill our legal and financial obligations. - To provide you with employment opportunities. **Marketing.** We may use your personal information to contact you with newsletters, marketing or promotional materials and other information that may be of interest to you. You have the right to object to the use of your personal information for direct marketing purposes at any time. You can exercise this right by following the unsubscribe instructions in any marketing email, adjusting your notification preferences in the app, or contacting us at [privacy@photocircleapp.com](mailto:privacy@photocircleapp.com). You will still continue to receive service-related messages concerning products and services you have purchased (unless we have indicated otherwise). **Showing Quality Advertisements for Free Users.** When you use the free version of the App, we may show you advertisements within the App based on your interests. This involves using identifiers assigned by Apple on iOS and Google on Android, respectively, to entice advertisers to bid to occupy ad space on the PhotoCircle App when they want to offer a product or service that might suit a user. You can control this process on both Apple and Google platforms. If you are using the iOS App and do not have an ad-free subscription, as of the date of this Policy, we use Apple’s IDFA, and you may be prompted to Allow tracking across apps and can tap “Ask App not to track” to opt-out of seeing personalized advertisements on PhotoCircle. If you allow tracking, we will show ads on PhotoCircle that are personalized to your interests. If you use an earlier version of iOS, you can disable tracking by going to your phone’s “Settings” menu. If you do not allow tracking, we will not use IDFA to show you personalized ads on PhotoCircle. You will instead still see general ads on PhotoCircle, but they will not be personalized. If you are using Android and do not have an ad-free subscription, we use Google’s Advertising ID (GAID). As of the Date of this Policy, you can opt out of personalized ads on PhotoCircle by heading to Settings on your Android device. Once you do so, we will stop showing you personalized ad recommendations on PhotoCircle. However, you will still see ads on PhotoCircle as a free user, but they will not be personalized. We refer to the GAID and the IDFA collectively as “Ad Identifiers” in this Policy. **Ad Reporting.** When you report an advertisement, we collect limited information to help us review and address the issue. This includes details about your device and app version, the ad you reported, and a screenshot of the ad itself. We link this report to your account internally to prevent abuse and improve ad quality. The screenshot only includes the ad content—not other parts of your screen or profile. To help us investigate and prevent similar ad issues, we may share the ad screenshot (without any user identifiers) with the advertising partner responsible for serving that ad. These partners use the screenshot solely for compliance review, fraud detection, and quality assurance. We do not share any information that identifies you or your device with advertisers, and we delete or anonymize the screenshot once the review process is complete. **Automated Image Scanning.** We may use automated content scanning technologies to identify and remove child sexual abuse material (CSAM), in accordance with applicable U.S. law. These technologies, such as [Microsoft PhotoDNA](https://www.microsoft.com/en-us/photodna), work by creating a cryptographic hash of an uploaded image and comparing it to a database of known CSAM hashes. No human sees your images during this automated scanning process unless flagged for review due to a policy violation. For users in the European Economic Area (EEA) or Switzerland, these tools are only applied: - where we are required by law, - when content is flagged or reported, - or where permitted by a legitimate interest or user consent. This process supports our efforts to prevent illegal activity on the platform and ensure user safety. How We Share Your Information We share your personal information with third parties in accordance with this Privacy Policy. **Ad Identifiers.** For free Users, the applicable Ad Identifiers may be shared with advertising networks to allow ad publishers to submit bids to fill our ad spaces. The App shares these identifiers directly and solely for the purpose of finding a personalized ad directly for your device. **Affiliates and Service Providers.** We share your information with our third-party service providers, affiliates, and any subcontractors as required to offer you our products and services. The service providers we use help us to: - Run, operate, and maintain our Services through third-party platforms and software tools; - Perform content moderation and crash analytics; - Run email messaging campaigns; - Perform marketing analytics; - Provide measurement services and targeted ads; - Administer live events, competitions, sweepstakes, and promotions, including registering attendees, managing check-in and attendance, verifying eligibility and prize fulfillment; - Provide payment attribution; and, - Provide technical and customer support. Some external service providers may also collect information directly from you (for example, a payment processor may request your billing and financial information) in accordance with their own privacy policy. These external service providers do not share your financial information, like credit card number, with us, but may share limited information with us related to your purchase, like your zip code. **Service Providers and Recipients.** We share data with the following providers: - Amazon Web Services (cloud hosting, storage, email delivery) — US - Google LLC / Firebase (push notifications, SSO authentication) — US - Apple Inc. (push notification delivery via APNs) — US - Stripe (payment processing) — US - Microsoft Corporation (PhotoDNA content scanning) — US - Sentry (error tracking and performance monitoring) — US - Canva (optional integration, if connected by user) — US/AU - Ad network partners (when ad consent is granted) — varies - DealFront (website analytics and visitor identification) — DE/FI We seek to work with service providers who handle personal information in accordance with applicable privacy laws and limit their use of your data to the purposes described in this Privacy Policy. **Aggregated Data.** We may also aggregate or otherwise strip information of all personally identifying characteristics and may share that aggregated, anonymized data with third parties or publish it. We reserve the right to make use of any such aggregated data as we see fit. **Disclosures Required by Law.** We may be required to disclose your data in response to lawful requests by public authorities, including to meet law enforcement requirements. We may be under a duty to disclose or share your personal information to comply with any legal obligation, to enforce or apply our terms and conditions and other agreements, to protect our rights, property, or safety, or to protect the rights, property, or safety of others. This includes exchanging information with other companies and organizations for the purposes of fraud protection. **Third Party Marketing.** PhotoCircle does not share your personal information with third parties for their own direct marketing purposes. Ad Identifiers may be shared with advertising networks solely to serve advertisements within the PhotoCircle App, not for those networks’ independent marketing use. **Content Moderation.** In limited circumstances, your uploaded photos may be scanned using automated tools (such as [PhotoDNA](https://www.microsoft.com/en-us/photodna)) to detect known child sexual abuse material. If a match is detected, the photo and associated metadata may be flagged and reviewed internally and reported to the National Center for Missing and Exploited Children (NCMEC) as required by U.S. law. These moderation tools do not allow PhotoCircle or its vendors to see or extract your original photos unless flagged. ## 5\. Do Not Track Our Site does not currently respond to all Do Not Track signals, as we are awaiting consensus from the Internet policy and legal community on the meaning of Do Not Track and the best way to respond to these signals. ## 6\. Cookies To make certain aspects of our Services work, we may request placing small data files called cookies on your device. A cookie is a text file that a service saves on your device. The cookie enables the service to remember your actions and preferences (such as login, shopping cart, etc.) over a period of time, so you do not have to keep re-entering them whenever you come back to the service. We use the information we get from Google Analytics only to improve the Site. We do not combine the information collected through the use of Google Analytics with personally identifiable information. Family Education Rights & Privacy Act (FERPA) Some of our customers may include public schools and institutions. In the United States, FERPA restricts the disclosure of personally identifiable information from a student’s education records, unless an exception applies. Our data protection and privacy policies and practices support such customers in complying with FERPA. For example, if a public school or institution uses our services for students, we maintain the privacy of those student Users and only use that information to deliver our services. Students and parents of students may have specific rights under FERPA related to access and/or updating the students’ information. Students and parents (where applicable) may edit their personal information by accessing their account and updating their information. ## 8\. Privacy Rights & Additional Disclosures for EEA, UK & Swiss Individuals **Lawful Bases for Processing (EEA, UK & Swiss Individuals)**. If you are from the European Economic Area (EEA), the United Kingdom (UK), or Switzerland, our legal bases for collecting and using your personal information are as follows: - The performance of your contract or to enter into the contract and to take action on your requests. For example, the processing of your account registration. - Our legitimate business interests. For example, fraud prevention, maintaining the security of our network and services, direct marketing to you, and improvement of our services. - Compliance with a mandatory legal obligation. For example, accounting and tax requirements, which are subject to mandatory retention periods. We may also collect your personal information to record your requests to exercise your rights and to verify your identity for such requests. - Consent you provide where we do not rely on another legal basis. Consent may be withdrawn at any time. - In some limited cases, we may also have a legal obligation to collect personal information from you in response to lawful requests by public authorities, including to meet law enforcement requirements, as described above in the “How We Share Your Information” section. We also rely on a combination of legitimate interests, legal obligations, and, where required, user consent to scan content or respond to content flagged by automated moderation tools. For example, when scanning images to detect child sexual abuse material (CSAM) using [PhotoDNA](https://www.microsoft.com/en-us/photodna), our basis may be a legitimate interest to prevent serious crime and protect our community from harm. Where local laws require consent or judicial authorization to perform such scanning, we comply with those requirements. You may object to this type of processing where applicable under law. If you have questions about or need further information concerning the legal basis on which we collect and use your personal information, please contact us using the contact details provided at the end of this Privacy Policy. **EEA, UK and Swiss Individuals’ Rights.** If you are from the EEA, UK, or Switzerland, you have the right, under certain circumstances, to: - Access your personal information; - Correct inaccurate information in your personal information; - Request erasure of your personal information without undue delay; - Request restriction of, in certain circumstances, the processing of your personal information; - Request receiving a portable copy of your personal information held by us, and to have that portable copy transmitted to another controller; and - To object to the processing of your personal information. PhotoCircle complies with the EU-U.S. Data Privacy Framework (“**EU-U.S. DPF**”), the UK Extension to the EU-U.S. DPF (“**UK-U.S. DPF**”), and the Swiss-U.S. Data Privacy Framework (“**Swiss-U.S. DPF**”) (collectively, the “**DPF**”) as set forth by the US Department of Commerce. PhotoCircle has certified that it adheres to the EU-U.S. Data Privacy Framework Principles (“EU-U.S. DPF Principles”) with regard to the processing of personal data received from the European Union in reliance on the EU-U.S. DPF and from the United Kingdom (and Gibraltar) in reliance on the UK Extension to the EU-U.S. DPF. PhotoCircle has certified to the U.S. Department of Commerce that it adheres to the Swiss-U.S. Data Privacy Framework Principles (“Swiss-U.S. DPF Principles”) with regard to the processing of personal data received from Switzerland in reliance on the Swiss-U.S. DPF. If there is any conflict between the terms in this privacy policy and the EU-U.S. DPF Principles and/or the Swiss-U.S. DPF Principles (collectively, the “DPF Principles”), the DPF Principles shall govern. Upon request, we will provide you with access to the personal information that we hold about you. You may also correct, amend, or delete the personal information we hold about you. If requested to remove data, we will respond within a reasonable timeframe. We will provide an individual opt-out or opt-in choice before we share your data with third parties other than our agents, or before we use it for a purpose other than which it was originally collected or subsequently authorized. As explained in this Privacy Policy, we sometimes provide your information to third parties to perform services on our behalf. If we transfer personal information received under the DPF to a third party, the third party’s access, use, and disclosure of the personal data must also be in compliance with our DPF obligations, and we will remain liable under the DPF for any failure to do so by the third party unless we prove we are not responsible for the event giving rise to the damage. If your DPF-related complaint cannot be resolved through this channel, PhotoCircle commits to refer unresolved complaints to JAMS DPF Dispute Resolution, an alternative dispute resolution provider based in the United States. The services of JAMS DPF Dispute Resolution are provided at no cost to you. If your DPF complaint cannot be resolved through the above channels, under certain conditions, you may invoke binding arbitration for some residual claims not resolved by other redress mechanisms. Residents of certain US states have the right to know whether we are processing your personal information, and in some instances, you have the right to request that we disclose to you the categories listed below for the preceding 12 months. In responding to this right, we shall provide to you: - The categories of personal information we collect about you. - The categories of sources from which your personal information is collected. - The business or commercial purpose(s) for collecting, selling, sharing, or disclosing your personal information, and the categories of personal information disclosed for such purpose(s). - The categories of third parties with whom we share your personal information. - The categories of personal information we have sold, if any, about you and the categories of third parties to whom your personal information was sold, by category or categories of personal information for each third party to whom the personal information was sold. - The specific pieces of personal information we have collected about you. Residents of certain US states have the right to receive, in certain circumstances, a portable format of their personal information that allows the data to be transmitted to another entity. **Do Not Sell or Share My Personal Information.** Residents of certain US states have the right to opt out of the sale or sharing of your personal information. To opt out of sharing, please follow instructions for your phone’s platform (iOS or Android) as outlined above in [Section 3](#showing-quality-ads-for-free-users). When you use the free, ad-supported version of the App, Ad Identifiers may be shared with advertising networks to serve personalized ads; this constitutes “sharing” under the CCPA. You can opt out of this sharing by following the platform-specific instructions in Section 3. **Limiting the Use of Sensitive Personal Information.** Residents of California have the right to direct us to use or disclose sensitive personal information only for providing goods or services, or as otherwise minimally permitted under applicable law. However, we do not disclose sensitive personal information for any purpose other than providing our goods and services to you, or as otherwise minimally permitted under applicable law. **Automated Processing & Profiling.** Residents of certain US states have the right to opt out of profiling in furtherance of decisions that produce legal or similarly significant effects. However, we do not process your personal information for purposes of profiling in furtherance of decisions that produce legal or similarly significant effects. **How to Exercise Your Rights.** To exercise any of the rights described above, please contact us at [privacy@photocircleapp.com](mailto:privacy@photocircleapp.com) or use the account settings within the App. **Verification.** To protect our consumers’ privacy, we may verify privacy rights requests to ensure that only you (or your authorized agent) can exercise rights pertaining to your personal information. As part of our verification process, we may request you to submit additional information. **Authorized Agents.** You may designate an authorized agent to submit requests on your behalf. We may require the authorized agent to provide proof of your written permission and may need to verify your identity directly. If you are an authorized agent wishing to exercise rights on behalf of a state resident, please contact us using the information at the bottom of this Privacy Policy and provide us with a copy of the consumer’s written authorization designating you as their agent. **Right to Appeal.** In certain cases, we may decline to take action on your request, as permitted by law. If we decline to take action on your request, you may appeal that decision by contacting us at [privacy@photocircleapp.com](mailto:privacy@photocircleapp.com) with the subject line “Privacy Appeal.” If we deny your appeal, we may provide a written explanation of our decision with instructions on how to contact your local Attorney General or Department of Justice for further review, where permitted under certain US state privacy laws. **Non-Discrimination.** You have the right to receive equal service and price, even if you exercise a privacy right. We will not discriminate against you for exercising your privacy rights. ## 10\. Disclosures Related to Child Sexual Abuse Material (CSAM) and Legal Obligations Notwithstanding any provisions regarding data retention and deletion, PhotoCircle complies with all legal reporting obligations under U.S. federal law, including 18 U.S.C. § 2258A, and the UK Online Safety Act. If we become aware of potential CSAM or other criminal content: - We will preserve relevant account and content data; - We will disclose information to the relevant reporting agencies and/or law enforcement, as required by law; - Such disclosures are authorized under our legitimate interest in preventing harm and complying with legal obligations. These disclosures are not subject to user consent and override any conflicting data deletion requests. ## 11\. How We Secure Your Information Like most applications today, we use cloud server infrastructure to run our App and Website. We license server spaces that encrypt data sent to the App and displayed by the App, both while “at rest” in our database and “in transit” between the App and those databases. Only we can access the database(s) we created to operate the App, and we do so only through accounts approved and provisioned for senior security engineers on our team. The service provider who supplies the database infrastructure does not have access to the data we store there. When we generate QR codes or links to add members to a Circle, we share these only with the user and device that requested them. You choose who to share it with from there. Note that SSO information is controlled and accessed by the relevant SSO provider, such as Google, Microsoft, or Apple. Please refer to the privacy policies of these platforms for more information about how they operate their SSO. While we take reasonable precautions against possible security breaches of the Website, PhotoCircle and our customer databases and records, no website or Internet transmission is completely secure, and we cannot guarantee that unauthorized access, hacking, data loss, or other breaches will never occur. We urge you to use caution when choosing what information to share with us. ## 12\. How We Retain Information We retain information from or about you only for as long as necessary to fulfill the purposes outlined in this Privacy Policy. When the information is no longer necessary for these purposes, we delete the information or keep it in a form that does not identify you, unless we are required by law to keep the information for a longer period. When determining the retention period, we take into account various criteria, such as the services requested and the mandatory retention periods provided by law and the statute of limitations. When an account is permanently banned, we may retain a non‑reversible, salted hash of your email address. This salted hash is used solely to prevent subsequent re‑registration under a new account by previously banned individuals. The hash is pseudonymized, cannot be used to identify you, and is not linked with any other personal data. We retain it only for the duration necessary to enforce the ban, in accordance with our legitimate interest for platform safety. ## 13\. Children’s Privacy PhotoCircle does not intentionally collect any information from or about persons under 16. In the event that we learn that we have inadvertently gathered personal information from children under the age of 16, we will use our best efforts to erase such information from our records. Change of Control Information may be transferred to a third party because of a sale, acquisition, merger, reorganization, or other change in control. If we sell, merge, or transfer any part of our business, part of the sale may include your information. ## 15\. (“**PhotoCircle**,” “**we**,” “**us**,” and/or “**our**”) provides a platform where users can upload, store, and share photos and videos with designated individuals. These Terms set forth the terms and conditions regarding how you and other users (collectively, “**you**,” “**your**,” or “**User(s)**”) can and cannot access and use the PhotoCircle website at [photocircleapp.com](https://www.photocircleapp.com/) (the “**Site**”), the iOS and/or Android PhotoCircle App (the “**App**”), and any other services offered as part of the PhotoCircle® platform (collectively with the Site and App, the “**Services**”). While we do our best to enforce the Terms, we cannot warrant or represent that other Users will in fact adhere to the Terms, nor can we act as insurers or accept any liability for their failure to do so. ## 2\. Definitions | Feature | | | --- | --- | | Circle | The shared Media space that PhotoCircle’s App enables, which can be created at any time by any User. | | Active Circle | A Circle that has received one or more Content submissions from anyone within the last 30 days. | | Comments | Text comments added to a Circle and/or associated with a particular piece of Media in that Circle. To the extent Comments include other User-generated content, such as ideas, concepts, techniques, data, or other information contained in any of these, such User-generated content is a part of the “Comment” for purposes of these Terms. | | Content | Media that you or someone whom you are legally responsible for uploads to the Services. | | Documentation | PhotoCircle-provided User documentation relating to Services, including Premium Services, found here, as may be updated by PhotoCircle from time to time. Documentation does not include content published by Users. | | Media | Photos, videos, Comments, and/or Content capable of being uploaded or added to, or otherwise associated with, a Circle. | | Child Sexual Abuse Material (CSAM) | Any visual depiction, whether real, simulated, or digitally created, of sexually explicit conduct involving a minor (a person under the age of 18), as defined under 18 U.S.C. § 2256. This includes, but is not limited to, photographs, videos, cartoons, drawings, or other imagery that depicts or suggests the sexual exploitation of children. | | Permissible Minor Users | Users who are (i) under the age of 13 and a resident in the United States, or (ii) under the age of 16 (or such other minimum age as is specified in the relevant European Economic Area member state, the UK, or Switzerland) and a resident in the European Economic Area, the UK, or Switzerland. | | PhotoCircle Friends & Family | PhotoCircle’s free, ad-supported offering for non-commercial, personal use. Ads can be removed with a PhotoCircle+ subscription through Apple or Google. | | PhotoCircle Premium | A subscription to one of PhotoCircle’s paid Services, excluding PhotoCircle+. | | PhotoCircle+ | The subscription managed by Apple or Google (depending on your device platform) that removes ads on PhotoCircle Friends & Family. PhotoCircle+ is not a PhotoCircle Premium offering. | ## 3\. Registration, Payment Terms & PhotoCircle+ Subscription **Registering for PhotoCircle Friends & Family.** Users can register for a PhotoCircle Friends & Family account, a free, ad-supported offering for non-commercial, personal use. Users have the option to subscribe to PhotoCircle+ after creating their PhotoCircle Friends & Family account. Subscriptions are handled through the Apple App Store or the Google Play Store. A subscription is not required to use the App, but if you do not pay for a subscription, you will receive displayed advertisements. **PhotoCircle Friends & Family Circle Limits.** A PhotoCircle Friends & Family User may have up to 10 Active Circles, but if a PhotoCircle Friends & Family User exceeds that amount, we reserve the right to either suspend the account or request the User upgrade by subscribing to a PhotoCircle Premium plan. ## 4\. PhotoCircle+ Subscription Terms Users of the free, ad-supported offering of PhotoCircle Friends & Family may remove the display of advertisements by subscribing to PhotoCircle+ through the Apple App Store or the Google Play Store. **PhotoCircle+ Subscription Terms.** Using PhotoCircle+ requires selecting a payment option through Apple or Google. PhotoCircle+ subscriptions are normally assessed on a monthly or annual basis. Subscription fees are calculated from the day upon which User’s PhotoCircle+ subscription commences. Your subscription to the Services shall be for the initial term (e.g., monthly or annually) as selected by you. **PAYMENTS AUTOMATICALLY RENEW FOR INDEFINITE SUCCESSIVE TERMS FOR THE SAME PERIOD AS THE INITIAL TERM, UNTIL CANCELED BY YOU OR BY US IN ACCORDANCE WITH THESE TERMS.** The subscription fee, when paid, is non-refundable and accrues on the first day of each term or successive renewal term until canceled, regardless of whether you use our Services. Notwithstanding the language in this paragraph, if a subscription resulted from a special introductory promotional offer, then the terms of that specific promotional offer shall control. **Right to Modify Pricing.** We reserve the right to raise or lower the cost of our subscription fees, in-app purchases, and other charges, and to create additional subscription tiers, at any time. **Cancellation.** Either we or you may cancel your PhotoCircle+ subscription at any time and for any reason. In the event of a cancellation by us or you, all fees due to us up to the end of the then-current billing cycle at the time of cancellation shall remain payable. No refunds will be provided for partial billing periods, unless otherwise stated in an applicable promotional offer. When your PhotoCircle+ subscription ends you may still use the App, but your App will include the display of advertisements. Users may cancel their PhotoCircle+ subscription by visiting the Apple App Store or Google Play Store (depending on their device model), navigating to their current subscriptions, and canceling the PhotoCircle+ subscription. If at any time we believe, in our sole discretion, that a User has violated any provision of these Terms, we may immediately terminate that User’s account and all other access to the Services without any refund or other remedy. Such termination will not limit any other right by us under contract, tort, or any other legal theory to pursue any claim or cause of action against the User for violating the Terms, including, without limitation, monetary damages, injunctive relief, attorney’s fees, and court costs. ## 5\. Eligibility for the Services  By accessing or using the Services in any way, clicking on a button or taking similar action to signify your affirmative acceptance of these Terms, you hereby represent that: - You have read, understand, and agree to be bound by these Terms and any future amendments and additions to these Terms as published from time to time at this link or through the Services; - You are old enough to not be considered a Permissible Minor User, or if you are a Permissible Minor User, a parent or legal guardian has given sufficient Parental Consent in accordance with Section 11 of these Terms; - You have the authority to enter into these Terms personally. Except as otherwise provided herein, if you do not agree to be bound by these Terms, you may not access or use the Services; and, - You will comply with all applicable laws, including those of the country, state, and city in which you are present while using the Services. ## 6\. Additional Service-Specific Terms These Terms help define our relationship with you as you interact with our Services. However, your use of certain PhotoCircle products and offerings may be subject to additional service-specific terms, such as the terms governing a PhotoCircle Premium subscription. In the event of a conflict between these Terms and the provisions of applicable additional service-specific terms, the terms of the additional service-specific terms shall apply. ## 7\. Access & Use of Services By entering these Terms, you will be granted a revocable license to access our Services. Your access privileges, however, are conditioned on your adherence to these Terms. We reserve the right to temporarily deny you access to the Services or permanently terminate your access privileges at any time if, in our sole discretion, you have failed to abide by these Terms or appear to us likely to do so. By agreeing to grant you access, we do not obligate ourselves to do so or to maintain the Services, or to maintain it in its present form, and we expressly reserve the right to modify, suspend, or terminate your access privileges. **User Roles.** Users may have comprehensive or limited rights to any given Circle, depending on the permissions allowed by their role within that Circle, as detailed in [Documentation](https://docs.photocircleapp.com). **Prohibited Uses.** You understand, acknowledge, and agree that any access or use of the Services shall be for your personal, non-commercial use only, and that you will not commercially exploit any portion of the Services or use any portion of the Services for any commercial gain. This prohibition includes, but is not limited to, renting, leasing, lending, sublicensing, redistributing, reselling, repackaging, or otherwise allowing third parties to access or use the Services, either directly or indirectly, without our express consent to do so. **Usage.** When you choose to use the App and/or upload Media to the App, you agree, represent, and warrant, without any further consent, notice and/or compensation to you or to any third parties: - To grant to PhotoCircle (to allow us to operate the App) a perpetual, irrevocable, transferable, fully paid, royalty-free, non-exclusive, worldwide, fully sublicensable right and license to use, copy, display, publish, modify, remove, publicly perform, translate, create derivative works, distribute and/or otherwise use the Content in connection with our business and in all forms now known or hereafter invented, without notification to and/or approval by you, except as otherwise required by law; - To assume the risk of loss of any Content; - That you are the owner of, or otherwise have the right to provide, all Content that you submit, post and/or otherwise transmit through the App; - That you consent to the use and handling of any Content by the Services as described in our [Privacy Policy](https://www.photocircleapp.com/legal/privacy/); - That any Content you choose to submit is accurate, not confidential, and not in violation of any contractual restrictions, any applicable law, or other third-party rights; and, - You will only upload Content and invite Users to view it when your own rights in that Content are sufficient to do so, and to otherwise permit the type of private sharing our Services support. ## 8\. Acceptable Use Guidelines By using our Services, you confirm that you have read, understand, and agree to be bound by our then-current [Acceptable Use Guidelines](https://www.photocircleapp.com/legal/acceptableuse/). We reserve the right to investigate, suspend, or terminate your account if you misuse our Services or act in a way that we regard as inappropriate, improper, unlawful, or not in conformance with these Terms, the Acceptable Use Guidelines, or our values and mission. **Prohibited Content:** You may not upload, share, or store any of the following content: - Content that contains or depicts nudity, including full or partial exposure of genitalia, buttocks, or female-presenting nipples - Pornographic content, including but not limited to photographs, videos, AI-generated images, illustrations (such as hentai), or depictions of sexual acts - Sexualized depictions of minors, including fictional or illustrated content such as “lolicon” or “shotacon” - Sexually explicit content, including content involving sex toys, fetish imagery, erotic roleplay, or any other materials of a sexual nature - Graphic depictions of violence, including excessive blood, gore, or bodily harm - Content that promotes, incites, or glorifies violence or physical harm against individuals or groups - Media depicting real or realistic acts of torture or abuse - Media promoting or celebrating mass shootings, terrorism, or hate crimes - Any content intended to shock or disgust through portrayals of violent death, injury, or assault We reserve the right to automatically scan and flag or remove content in violation of these rules, and to immediately suspend or terminate the account of any user who uploads such content. For users in jurisdictions where such scanning is restricted, we will apply such scanning only in accordance with applicable local laws and regulations. ## 9\. Trust & Safety We allow you to create or join Circles to share your Content and engage with Media. We let Users control the selection of who can access their Content through an invitation process. Users in charge of Circles are considered moderators for those Circles. You hereby acknowledge, understand, and agree that all Users of a Circle can view all Content in that Circle, and you are solely responsible for: - Inviting other Users to your Circles only when you trust them, and when you believe that you have any required consent of other Users of the Circle to invite that new User.  - You acknowledge and agree that you should invite those you trust to use the Circle appropriately and invite others who will use the Circle appropriately. - Joining Circles only upon the invitation of Users who you trust to maintain the level of privacy and security you want for your Content (including by only inviting others to the Circle who are trustworthy). - Uploading Content to Circles only when you trust other Users to maintain the level of privacy and security you want for that Content. - Inviting Users to your Circles only when they meet the eligibility guidelines set forth in these Terms. - You acknowledge and agree that PhotoCircle will not monitor who Users invite to a Circle, whom a moderator chooses to remove from their Circles, or what Media are uploaded to a Circle or removed from that Circle. However, we may investigate the history, membership, and/or Media of a Circle when we have reason to believe a User has violated these Terms and/or broken the law.  PhotoCircle grants to you a limited, personal, revocable, nonexclusive, non-assignable, non-sublicensable right to access, through a generally available web browser or mobile device or application (but not through scraping, spidering, crawling or other technology or software used to access data without the express written consent of PhotoCircle), view information and use the Services that we provide in accordance with these Terms.  Any other use of the Services contrary to our mission and purpose is strictly prohibited and a material breach of these Terms. We reserve all rights not expressly granted in these Terms, including, without limitation, title, ownership, intellectual property rights, and all other rights and interest in the Services. If at any point you are concerned the privacy or security of your personal information and/or Content may have been compromised in the App, you agree to first email [trustandsafety@photocircleapp.com](mailto:trustandsafety@photocircleapp.com) with a description of your concerns to provide us with a reasonable opportunity to investigate, respond to, and clarify those concerns. ## 10\. Privacy Policy  [PhotoCircle’s Privacy Policy](https://www.photocircleapp.com/legal/privacy/) (as updated from time to time) explains our data handling, privacy, and security practices in language we hope will be widely accessible, and all references in these Terms to the “Privacy Policy” refer to the latest version of this document. By agreeing to these Terms, you are automatically agreeing to our Privacy Policy, which is incorporated herein by reference. ## 11\. Parental Consent  If you choose to invite Permissible Minor Users into a Circle, you further agree:  - That you will do so only AFTER having sought and obtained verifiable parental consent from the parent or legal guardian of the Permissible Minor User. This consent should be memorialized in writing or in another permanent form sufficient to evidence consent to a court of law (a “**Parental Consent**”). - You agree that, upon request, you will provide PhotoCircle with a copy of such Parental Consent. - You agree that you will remain fully responsible for actions and concerns of the Permissible Minor User(s) you invite into a Circle in connection with the Services, including without limitation: - Permissible Minor User’s full compliance with these Terms; - Obtaining and maintaining any and all permissions, notices, consents, and other matters necessary to ensure that the Content uploaded by a Permissible Minor User also complies with these Terms; - Participating in any law enforcement or governmental investigation or action relating to the actions of Permissible Minor User(s) you invited and/or the Circle(s) they participate in; and, - Accepting and adhering to the Indemnity obligations of these Terms with respect to these Permissible Minor Users. ## 12\. Good Samaritan & Inappropriate Content Policy PhotoCircle maintains a zero-tolerance policy for content that violates applicable law or our Acceptable Use Guidelines. This includes, but is not limited to, any content that is: - Child sexual abuse material (CSAM) - Nudity or sexually explicit content, including animated or illustrated depictions such as hentai - Sexually suggestive or exploitative depictions of minors - Graphic depictions of violence, including excessive blood, gore, or bodily harm - Content that promotes, incites, or glorifies violence or physical harm against individuals or groups Our moderation practices include both human and automated review systems, and we reserve the right to permanently suspend accounts that violate these standards. We also strictly prohibit intellectual property infringement, obscene or defamatory material, or any content that violates U.S. law. We actively work in good faith to remove or limit access to content that is infringing, racist, sexist, obscene, harassing, or otherwise objectionable. While this section reflects our policy, it is not a contractual commitment to act in any specific way. **Prohibited Activities.** We reserve the right to investigate, suspend, or terminate a User if you misuse our Services or act in a way that we regard as inappropriate, improper, unlawful, or not in conformance with our values and mission. Such inappropriate, improper, and unlawful behavior includes, but is not limited to: - Uploading any Media prohibited by these Terms; - Interfering with or disrupting our Services or servers or networks connected to our Services, or disobeying any requirements, procedures, policies, or regulations of networks connected to our Services; - Violating any applicable local, state, national or international law, or any regulations having the force of law; - Harassing, intimidating, abusing, bullying, exploiting, threatening, or stalking others; - Disclosing a User’s identity without their permission; - Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity; - Soliciting personal information from anyone under the age of 18; - Soliciting payment from any User; - Harvesting or collecting email addresses or other contact information of other Users from our Services by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications; - Promoting, marketing, advertising, or offering to sell or buy any goods or services for any business purpose that is not specifically authorized; - Interacting with others in an aggressive, disrespectful, distasteful, or otherwise improper way, as determined in our sole discretion; - Making any statement, whether by posting Media or otherwise, that is hate speech, threatening, racist, pornographic, sexually explicit, libelous, defamatory, promoting violence or weapons, commercial in nature, or otherwise deemed improper in our sole discretion; - Furthering or promoting any criminal activity or enterprise or providing instructional information about illegal activities; - Obtaining or attempting to access or otherwise obtain any materials or information through any means not intentionally made available or provided through our Services; - Misrepresenting your identity, status, qualifications, or affiliations; and, - Disclosing information that you do not have the right to disclose. **Content Monitoring.** You understand and agree that we may, but are not obligated to, monitor or review any Media you post as part of our Services. We may delete any Media, in whole or in part, that in our sole judgment violates these Terms or may harm our reputation. **Complaint Procedure & Flagging Inappropriate Content.** If you believe that someone has posted material on our Services which infringes the intellectual property or other rights of third parties or which is in violation of U.S. law or which is racist, sexist, obscene, harassing, defamatory, or otherwise objectionable or inappropriate, or which constitutes child pornography, we ask you to bring the post to our attention by emailing us at [trustandsafety@photocircleapp.com](mailto:trustandsafety@photocircleapp.com). When emailing us to report inappropriate or infringing content, please provide as much detail as possible, including: - The nature of the right infringed or violated (including the registration numbers of any registered copyrights, trademarks, or patents allegedly infringed); - All facts which lead you to believe that a right has been violated or infringed; - The precise location where the offending material is located; - Any grounds to believe that the person who posted the material was not authorized to do so or did not have a valid defense (including the defense of fair use); and, - If known, the identity of the person or persons who posted the infringing or offending material. We are committed to responding to all allegations of Media in violation of these Terms and seek to review all flagged Media within 24 hours. We will retain all inappropriate content reports and moderator logs for a minimum of 12 months to ensure compliance under the UK Online Safety Act and other relevant legislation. **Enforcement.** Users who post or share such content will have their accounts immediately suspended or terminated. Where local law permits, we reserve the right to proactively scan content using automated and manual review processes. All suspected CSAM will be reported to the appropriate authorities based on the laws of the geography where the user is located, including: - National Center for Missing and Exploited Children (NCMEC) in accordance with 18 U.S.C. § 2258A. - In the UK/EU, to relevant authorities in compliance with Sections 66 and 69 of the Online Safety Act (OSA). **Appeal Process.** If your content is removed in error, you may contact us at [trustandsafety@photocircleapp.com](mailto:trustandsafety@photocircleapp.com) within 72 hours. We review appeals within 5 business days. **Indemnification / Waiver of Certain Rights.** By lodging a complaint, you agree that the substance of your complaint shall be deemed to constitute a representation made under penalty of perjury under the laws of the State of California. In addition, you agree, at your own expense, to defend us and indemnify us against any liability which we may incur by our response to your complaint. **Waiver of Claims and Remedies.** We expect Users to take responsibility for their own actions, and, as set forth below in Sections 18 and 19, cannot assume liability for any acts of Users or third parties which take place at these Services. By these Terms, you acknowledge that in establishing a complaint procedure we are taking on the role of a Good Samaritan and, in order to allow us to do our best, in good faith, to purge or otherwise restrict the availability of material that is infringing, racist, sexist, obscene, harassing, or otherwise objectionable, you agree to waive any claims or remedies which you might otherwise be able to make against us under any theory of law (including, but not limited to, intellectual property laws) arising out of or relating in any way to the Media at these Services or our response, or failure to respond, to a complaint. **Investigation / Right to Purge Postings.** You agree that we have the right (but not the obligation) to investigate any complaint received and, at any time and for any reason, to remove any material which you post to our Services, with or without your permission, and with or without cause, in our sole discretion. By reserving this right, we do not undertake any responsibility in fact to remove Media posted to our Services, whether or not a complaint has been received. ## 13\. Intellectual Property Ownership We (and our licensors, where applicable) shall own all rights, title, and interest, including all related intellectual property rights, in and to the Services. These Terms are not a sale and do not convey to you any rights of ownership in or related to the Services, or any intellectual property rights owned by us. Our name, logo, and the product names associated with the Services are our trademarks or belong to third parties, and no right or license is granted to use them. Copyright Policy & Disputes  We respect the copyright and other intellectual property rights of others and expect Users of our Services to do the same. In accordance with the Digital Millennium Copyright Act (“**DMCA**”) and other applicable law, we have a policy of terminating, in appropriate circumstances and at our sole discretion, Users of the Services who are deemed to be repeat infringers. We also may, in our sole discretion, limit access to the Services and terminate the accounts of any Users of the Services who infringe any intellectual property rights of others, whether or not there is any repeat infringement. If you are a copyright owner or the legal agent of a copyright owner, and you believe that any Media infringes on your copyrights, you may submit a notification to us pursuant to our DMCA Notice procedure: **Notification of Alleged Copyright Infringement.** If you believe that Media available on or through our Services infringes one or more of your copyrights, please immediately notify our Copyright Agent by mail or email (“**Notification**”) providing the information described below, which Notification is pursuant to DMCA 17 U.S.C. § 512(c)(3). A copy of your Notification will be sent to the person who posted or stored the material addressed in the Notification. All Notifications should include the following: - A physical or electronic signature (typing your full name within forward slashes (“/myname/”) will suffice) of the copyright owner or a person authorized to act on their behalf (“**complaining party**”); - Identification of the copyrighted work claimed to have been infringed (e.g., a link to the original work or clear description of the materials allegedly being infringed upon), or, if multiple copyrighted works at a single online website or webpage are covered by a single Notification, a representative list of such works at that website or webpage; - Identification of the infringing material and information reasonably sufficient to permit PhotoCircle to locate the material on our Site or Services; - Information reasonably sufficient to permit us to contact the complaining party, such as the name, account name, address, telephone number, and email address at which the complaining party may be contacted; - A statement that the complaining party has a good faith belief that the use of the material in the manner asserted is not authorized by the copyright owner, its agent, or the law; and - A statement that the information in the Notification is accurate, and, under penalty of perjury, that the complaining party is authorized to act on behalf of the copyright owner. Please be advised that pursuant to federal law you may be held liable for damages, including court costs and attorney’s fees, if you materially misrepresent that Media on our Services infringes a copyright. Thus, if you are not sure that Media located on or linked to by our Services infringe your copyright, you should consider first contacting an attorney. As such, by submitting a Notification of alleged copyright infringement, the complaining party consents to disclosure of their information in the aforementioned manner. **Counter Notification.** If you believe your copyrighted material has been removed from the Services as a result of a mistake or misidentification, you may submit a written counter-notification letter to us. To be an effective counter-notification under the DMCA, the counter-notification must substantially include the following: - Your name, address, and telephone number; - Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access to it was disabled (the description from the copyright notice will suffice); - A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled; - A statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located, or if your address is outside of the United States, for any judicial district in which PhotoCircle is located; - A statement that you will accept service of process from the complaining party within the Notification or an agent of such person; and, - A physical or electronic signature (typing your full name will suffice). You may submit the written counter-notification to our Copyright Agent by mail or email using the contact information set forth above. Please note that if you materially misrepresent that the disabled or removed Media was removed by mistake or misidentification, you may be liable for damages, including costs and attorney’s fees. Filing a false counter-notification constitutes perjury. If you send us a valid, written counter-notification meeting the requirements described above, we will restore the removed or disabled Media after 10 business days but no later than 14 business days from the date we receive the written counter-notification, unless our Copyright Agent first receives notice from the complaining party informing us that such party has filed a court action to restrain you from engaging in infringing activity related to the Media in question. ## 15\. Feedback  We welcome and encourage you to provide feedback, comments and suggestions for improvements to the Services (“**Feedback**”). You agree that any Feedback submission is at your own risk and that we have no obligations (including, without limitation, obligations of confidentiality) with respect to such Feedback. You represent and warrant that you have all rights necessary to submit the Feedback and hereby grant to us a perpetual, irrevocable, transferable, fully paid, royalty-free, non-exclusive, worldwide, fully sublicensable right and license to use, copy, display, publish, modify, remove, publicly perform, translate, create derivative works, distribute and/or otherwise use such Feedback, except as otherwise required by law. THE SERVICES ARE PROVIDED ON AN “AS IS” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS OR TIMELINESS OF THE CONTENT MADE AVAILABLE THROUGH THE SERVICES, OR THE TEXT, GRAPHICS, OR LINKS. WE DO NOT WARRANT THAT THE SERVICES WILL OPERATE ERROR-FREE OR THAT THE SERVICES ARE FREE OF COMPUTER VIRUSES AND OTHER HARMFUL MALWARE. IF YOUR USE OF THE SERVICES RESULTS IN THE NEED FOR SERVICING OR REPLACING EQUIPMENT OR DATA, WE SHALL NOT BE RESPONSIBLE FOR THOSE ECONOMIC COSTS. No advice or information, whether oral or written, obtained from PhotoCircle or through the Services, will create any warranty or representation not expressly made herein.  Because some states do not permit disclaimer of implied warranties, you may have additional consumer rights under your local laws. These terms do not disclaim warranties where such disclaimers are prohibited by applicable law.  ## 17\. Disputes with Other Users If there is a dispute between Users of our Services, or between Users and any third party, you agree that PhotoCircle is under no obligation to become involved.  In the event that you have a dispute with one or more other Users, you hereby release PhotoCircle, its officers, employees, agents, and successors from claims, demands, and damages of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and/or our Services. ## 18\. Limitation of Liability  UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (WHETHER IN CONTRACT, TORT, OR OTHERWISE) SHALL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR: (A) ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST SALES OR BUSINESS, LOST DATA OR DATA BREACH, OR  (B) FOR ANY DIRECT DAMAGES, COSTS, LOSSES OR LIABILITIES (INCLUDING ATTORNEYS’ FEES) IN EXCESS OF THE FEES ACTUALLY PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO YOUR CLAIM OR, IF NO FEES APPLY, ONE HUNDRED ($100) U.S. DOLLARS.   THE PROVISIONS OF THIS SECTION ALLOCATE THE RISKS UNDER THIS AGREEMENT BETWEEN THE PARTIES, AND THE PARTIES HAVE RELIED ON THESE LIMITATIONS IN DETERMINING WHETHER TO ENTER INTO THIS AGREEMENT. YOU ACKNOWLEDGE THAT THE SERVICES (INCLUDING ANY SERVERS OR OTHER HARDWARE, SOFTWARE AND ANY OTHER ITEMS USED OR PROVIDED BY US IN CONNECTION WITH THE SERVICES) ARE PROVIDED “AS IS” AND THAT WE MAKE NO WARRANTY THAT THE SERVICES WILL BE FREE FROM BUGS, FAULTS, DEFECTS OR ERRORS OR THAT ACCESS TO THE SERVICES WILL BE UNINTERRUPTED. ## 19\. Third-Party Interactions The Services may contain links to or display content originating from third-party websites and advertisements (collectively, “**Third-Party Websites & Advertisements**”). Such Third-Party Websites & Advertisements are not under our control. We are not responsible for any Third-Party Websites or any Third-Party Advertisements. We do not review, approve, monitor, endorse, warrant, or make any representations with respect to such Third-Party Websites & Advertisements, or their products or services. When you click on a link to a Third-Party Website or Advertisement, we will not warn you that you have left our Services and will not warn you that you are subject to the terms and conditions (including privacy policies) of another website or destination. You use all links in Third-Party Websites & Advertisements at your own risk. You should review applicable terms and policies, including privacy and data gathering practices of any Third-Party Websites, and make whatever investigation you feel necessary or appropriate before proceeding with any transaction with any third party. ## 20\. Indemnity You agree to indemnify and hold harmless PhotoCircle and its officers, directors, employees, agents, and affiliates (each, an “**Indemnified Party**”), from and against any losses, claims, actions, costs, damages, penalties, fines, and expenses, including without limitation attorneys’ fees and expenses, that may be incurred by an Indemnified Party arising out of, relating to or resulting from: (a) your Content;  (b) your misuse of the Services;  (c) your violation of these Terms; or  (d) your violation of any applicable laws, rules or regulations through or related to the use of the Services.  In the event of any claim, allegation, suit or proceeding alleging any matter potentially covered by the agreements in this Section, you agree to pay for the defense of the Indemnified Party, including reasonable costs and attorneys’ fees incurred by the Indemnified Party. We reserve the right, at our own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with us in asserting any available defenses. This provision does not require you to indemnify any Indemnified Party for any unconscionable commercial practice by such party, or for such party’s negligence, fraud, deception, false promise, misrepresentation or concealment, suppression or omission of any material fact in connection with the Services. You agree that the provisions in this Section will survive any termination of your account, these Terms, or your access to the Services. ## 21\. Dispute Resolution And Binding Arbitration PLEASE READ THE FOLLOWING SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH US AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF. THIS SECTION OF THE TERMS SHALL BE REFERRED TO AS THE “**ARBITRATION AGREEMENT**.” **Scope of Arbitration Agreement.** You agree that any dispute or claim relating in any way to your access or use of the Services or as a consumer of our Services, to any advertising or marketing communications regarding us or our Services, to any products or services sold or distributed through the Services that you received as a consumer, or to any aspect of your relationship or transactions with us as a consumer of our Services will be resolved by binding arbitration, rather than in court, except that (1) you may assert claims in small claims court if your claims qualify, so long as the matter remains in such court and advances only on an individual (non-class, non-representative) basis; and (2) you or PhotoCircle may seek equitable relief in court for infringement or other misuse of intellectual property rights (such as trademarks, trade dress, domain names, trade secrets, copyrights, and patents). This Arbitration Agreement shall apply, without limitation, to all claims that arose or were asserted before the Effective Date of this Agreement. IF YOU AGREE TO ARBITRATION WITH US, YOU ARE AGREEING IN ADVANCE THAT YOU WILL NOT PARTICIPATE IN OR SEEK TO RECOVER MONETARY OR OTHER RELIEF IN ANY SUCH CLASS, COLLECTIVE, AND/OR REPRESENTATIVE LAWSUIT. INSTEAD, BY AGREEING TO ARBITRATION, YOU MAY BRING YOUR CLAIMS AGAINST US IN AN INDIVIDUAL ARBITRATION PROCEEDING. IF SUCCESSFUL ON SUCH CLAIMS, YOU COULD BE AWARDED MONEY OR OTHER RELIEF BY AN ARBITRATOR. **Informal Resolution.** You and PhotoCircle agree that good-faith informal efforts to resolve disputes often can result in a prompt, low-cost and mutually beneficial outcome. You and PhotoCircle therefore agree that, before either you or PhotoCircle demands arbitration against the other, we will personally meet and confer, via telephone or videoconference, in a good-faith effort to resolve informally any claim covered by this mutual Arbitration Agreement. If you are represented by counsel, your counsel may participate in the conference, but you shall also fully participate in the conference. The party initiating the claim must give notice to the other party in writing of its, his, or her intent to initiate an informal dispute resolution conference, which shall occur within 60 days after the other party receives such notice, unless an extension is mutually agreed upon by the parties. To notify us that you intend to initiate an informal dispute resolution conference, email [support@photocircleapp.com](mailto:support@photocircleapp.com), providing the email address associated with your PhotoCircle account (if any), and a description of your claim. In the interval between the party receiving such notice and the informal dispute resolution conference, the parties shall be free to attempt to resolve the initiating party’s claims. Engaging in an informal dispute resolution conference is a requirement that must be fulfilled before commencing arbitration. The statute of limitations and any filing fee deadlines shall be tolled while the parties engage in the informal dispute resolution process required by this paragraph. **Arbitration Rules and Forum.** This Arbitration Agreement is governed by the Federal Arbitration Act in all respects. To begin an arbitration proceeding, you must send a letter requesting arbitration and describing your claim to our registered agent, Kayleigh Miles, 1968 S. Coast Hwy, Laguna Beach, CA 92651. The arbitration will be conducted by JAMS under its rules and pursuant to the terms of this Agreement. Disputes involving claims and counterclaims under $250,000, not inclusive of attorneys’ fees and interest, shall be subject to JAMS’s most current version of the Streamlined Arbitration Rules and procedures available at [https://www.jamsadr.com/rules-streamlined-arbitration/](https://www.jamsadr.com/rules-streamlined-arbitration/); all other claims shall be subject to JAMS’s most current version of the Comprehensive Arbitration Rules and Procedures, available at [https://www.jamsadr.com/rules-comprehensive-arbitration/](https://www.jamsadr.com/rules-comprehensive-arbitration/). JAMS’s rules are also available at [www.jamsadr.com](https://www.jamsadr.com) (under the Rules/Clauses tab) or by calling JAMS at 800-352-5267. Payment of all filing, administration, and arbitration fees will be governed by JAMS’s rules. If the arbitrator finds that you cannot afford to pay JAMS’s filing, administrative, hearing and/or other fees and cannot obtain a waiver of fees from JAMS, we will pay them for you. In addition, we will reimburse all such JAMS filing, administrative, hearing and/or other fees for claims with an amount in controversy totaling less than $10,000. If JAMS is not available to arbitrate, the parties will select an alternative arbitral forum. You may choose to have the arbitration conducted by telephone, video conference, based on written submissions, or in person in the county where you live or at another mutually agreed location. **Arbitrator Powers.** The arbitrator, and not any federal, state, or local court or agency, shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability or formation of this Arbitration Agreement including, but not limited to any claim that all or any part of this Arbitration Agreement is void or voidable. The arbitration will decide the rights and liabilities, if any, of you and PhotoCircle. The arbitration proceeding will not be consolidated with any other matters or joined with any other proceedings or parties. The arbitrator will have the authority to grant motions dispositive of all or part of any claim or dispute. The arbitrator will have the authority to award monetary damages and to grant any non-monetary remedy or relief available to an individual under applicable law, the arbitral forum’s rules, and this Agreement (including this Arbitration Agreement). The arbitrator will issue a written statement of decision describing the essential findings and conclusions on which any award (or decision not to render an award) is based, including the calculation of any damages awarded. The arbitrator shall follow the applicable law. The arbitrator has the same authority to award relief on an individual basis that a judge in a court of law would have. The arbitrator’s decision is final and binding on you and PhotoCircle. **Waiver of Jury Trial.** YOU AND PHOTOCIRCLE WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND RECEIVE A JUDGE OR JURY TRIAL. You and PhotoCircle are instead electing to have claims and disputes resolved by arbitration, except as specified in the Scope of Arbitration Agreement paragraph above. There is no judge or jury in arbitration, and court review of an arbitration award is limited. **Waiver of Class or Consolidated Actions.** YOU AND PHOTOCIRCLE AGREE TO WAIVE ANY RIGHT TO RESOLVE CLAIMS WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT ON A CLASS, COLLECTIVE, OR REPRESENTATIVE BASIS. ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS. CLAIMS OF MORE THAN ONE CUSTOMER OR USER CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER. If, however, this waiver of class or consolidated actions is deemed invalid or unenforceable with respect to a particular claim or dispute, neither you nor PhotoCircle is entitled to arbitration of such claim or dispute. Instead, all such claims and disputes will then be resolved in a court as set forth in Section 22. **Batch Arbitrations.** To increase efficiency of resolution, in the event 100 or more similar arbitration demands against us, presented by or with the assistance of the same law firm or organization, are submitted to an arbitration provider selected in accordance with the rules described above within a 30-day period, the arbitration provider shall (i) group the arbitration demands into batches of no more than 100 demands per batch (plus, to the extent there are less than 100 arbitration demands left over after the batching described above, a final batch consisting of the remaining demands); and (ii) provide for resolution of each batch as a single arbitration with one set of filing and administrative fees and one arbitrator assigned per batch. You agree to cooperate in good faith with PhotoCircle and the arbitration provider to implement such a batch approach to resolution and fees. **Opt Out.** You may opt out of this Arbitration Agreement. If you do so, neither you nor PhotoCircle can force the other to arbitrate as a result of this Agreement. To opt out, you must notify PhotoCircle in writing no later than 30 days after first becoming subject to this Arbitration Agreement. Your notice must include your name and address, your email address (if you have one), and a CLEAR statement that you want to opt out of this Arbitration Agreement. You must send your opt-out notice to: [support@photocircleapp.com](mailto:support@photocircleapp.com). If you opt out of this Arbitration Agreement, all other parts of this Agreement will continue to apply to you. Opting out of this Arbitration Agreement has no effect on any other arbitration agreements that you may have entered into with us or may enter into in the future with us.  **Survival.** This Arbitration Agreement will survive any termination of your relationship with us. **Modification.** Notwithstanding any provision in these Terms to the contrary, we agree that if we make any future material change to this Arbitration Agreement, it will not apply to any individual claim(s) that you had already provided notice of to us. ## 22\. Exclusive Venue To the extent the parties are permitted under these Terms to initiate litigation in a court, both you and PhotoCircle agree that all claims and disputes arising out of or relating to the Terms will be litigated exclusively within the State of California for courts situated in Orange County, California, or in federal court for the Central District of California. ## 23\. Termination At our sole discretion, we may modify or discontinue the Services, or may modify, suspend or terminate your access to the Services, for any reason, with or without notice to you and without liability to you or any third party. In addition to suspending or terminating your access to the Services, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal or injunctive redress. Even after your right to use the Services is terminated, these Terms will remain enforceable against you. All provisions which by their nature should survive to give effect to those provisions shall survive the termination of these Terms. ## 24\. Content Scanning & Regional Compliance PhotoCircle uses [Microsoft PhotoDNA](https://www.microsoft.com/en-us/photodna) to detect known CSAM as required by U.S. law (18 U.S.C. § 2258A) and the UK Online Safety Act. These scans are applied automatically for all users in all geographies except where local law restricts proactive content scanning, such as the European Economic Area (EEA) and Switzerland. For users in these restricted regions, PhotoCircle may still review and take action on content that is reported by other users, suspected to be illegal, or otherwise violates our Acceptable Use Guidelines. We are committed to complying with GDPR, the UK Data Protection Act, the Swiss Federal Act on Data Protection, and forthcoming requirements under the EU AI Act. ## 26\.
